Real Estate Exemption
As real estate is not a specified investment as defined in the UK Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (RAO), therefore, activities conducted by Asthenius Capital Limited in relation to real estate and property will not require Asthenius Capital Limited to be authorised pursuant to section 19 of the United Kingdom Financial Services and Markets Act 2000.
Where Asthenius Capital Limited conducts the following regulated activities as defined in the UK Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (RAO) with entities within its group, it will do so within the group exclusion in Article 69 of the RAO and therefore it will not be required to be authorised pursuant to section 19 of the Financial Services and Markets Act 2000: (i) advising on investments within the meaning of Article 53 of the RAO; (ii) arranging (bringing about) deals in investments within the meaning of Article 25(1) of the RAO, (iii) making arrangements with a view to investments within the meaning of Article 25(2) of the RAO, (iv) dealing as agent within the meaning of Article 14 of the RAO, and (v) managing investments within the meaning of Article 37 of the RAO.
